Two things open before it can be released
How a closing runs, from the checklist to the binder.

Make the checklist
Name the closing and the day it is meant to close. Add the documents: one already out for signature joins as it is, and a new one is made from the closing. List the conditions besides signatures, and who has to make each one true.

Everyone signs ahead of time
Each person signs from their own link, with no account. When everyone has signed a document, it is held: nothing is dated, completed or sent, and the signer is told so on the page and in the email.

Tick off the conditions
Mark each one met with a note and the proof attached, such as the wire confirmation or the board minute, or waive it with the reason. Your name and the time are kept with it.

Hear when it is ready
The moment every document is held and every condition met or waived, whoever runs the closing is emailed. Not a moment before.

Release, now or at a set time
One press, or 09:00 on Friday in the closing's own time zone. Every document is completed at the same second, dates left for the closing are filled with that day, and each certificate says it was held and who released it.

The binder builds itself
One PDF: an index of every document and who signed it when, the conditions and the proof for each, then every signed document with its certificate. Sealed, so anyone holding it can check it. Each person is emailed once, with everything of theirs.
What people ask before a closing.
Can a signer take back a signature before the closing?
- Yes, until the release. They withdraw it from the page they signed on, you are told who, on which document, and why, and the document waits for them again. Everyone else's signature stands. After the release, a signature is final.
What does the other side see?
- Each person has one page for the closing, linked from every email they are sent: their own documents, and whether each is waiting for them or for somebody else. You can let somebody, such as the other side's lawyer, see the whole closing, its conditions and the binder. Names are shown; addresses are not.
What if a document changes after some people have signed?
- Take the old version out and void it, then send the new one into the closing. Everybody signs the final version, because a signature never moves from one version of a document to another.
What if the deal falls through?
- Call the closing off. Every document still out is voided, so no held signature is ever used, and everybody who was sent something is told once. Nothing is delivered.
How does anybody check the binder later?
- The binder is sealed when it is built, with a QR code and a code for a printed copy. Anyone holding it can drop it on sharesign.co/verify and see whether a byte has changed, and each night the day's seals are timestamped by DigiCert and Sectigo, so the proof of when it existed holds without us.
Does an electronic signature hold up for a closing?
