Bring the records. Review the ownership.

A capitalisation table, often shortened to cap table or captable, records shares, options and convertible investments. Start with source records and keep each holder distinct, even when names match.

  1. 01

    Choose the business

Open an existing company’s cap table or prepare its first one. Owners and admins keep its ownership records.

Check your source file first

Check a UTF-8 CSV of up to 200 rows and 256 KiB before signing in. This check reads the file in your browser; its contents stay on this device.

Ownership records, from founders to a financing

Shares and option grants
Keep holdings by class, an option plan’s reserve, grants and vesting. Distinguish outstanding shares, outstanding options and the pool available to grant.
Check your spreadsheet first

Download a cap-table CSV example before creating an account. Share imports need individual outstanding issuances; option imports need outstanding grants with no exercises. An Excel ownership summary is not a complete transaction history.

Replace the fictional rows with your source records before importing. Check the import format.

SAFEs and convertible notes
Record the investment terms and preview a hypothetical priced round with eligible post-money SAFEs. Notes, pre-money SAFEs and MFN elections need separate modelling. A preview changes no ownership. Check the round-preview terms.
Prepare your fundraise with ChatGPT or Claude

Ask: “Review our recorded ownership, show the source links and model dilution using the investment terms I supply. Help me prepare a private fundraising room for my review.” Confirm the business and approve the ownership access you need.

Use ChatGPT or use Claude. You review changes and decide when to share or sign.

Agreements and data rooms
Prepare agreements for signing and organise fundraising documents in a private data room. Choose the files and their access in ShareSign. Prepare your data room.
Free cap-table records
Cap-table records come with every plan. Assistant access is included on Free, with no trial expiry. Existing resource limits and premium feature requirements still apply. Compare the plans.
